By accessing or using CheapTokens.ai (the “Service”), operated by CheapTokens (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
We may update these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms. We will indicate changes by updating the “Last updated” date above.
CheapTokens.ai sells discounted AI API credits. We sell time-limited Venice.ai API inference keys at dynamically discounted prices using a time-decay pricing model. When you make a purchase, we provision a Venice AI INFERENCE API key on your behalf. You then use that key to call Venice's API directly.
We are a reseller, not a proxy. API calls are made directly between you and Venice.ai. We do not intercept, modify, or store your API requests or responses.
Credits and API keys expire at midnight UTC on the purchased date(s). This expiration is a core feature of our pricing model and is not a defect.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.
The Service is not available to persons or entities subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC) or equivalent authorities. You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive U.S. sanctions.
The Service does not require account creation. Purchases are identified by your blockchain wallet address used during the x402 payment flow. You are solely responsible for the security of your wallet, private keys, and any API keys issued to you.
If the Service creates an embedded wallet on your behalf during the purchase flow, you acknowledge that embedded wallets are provided for convenience only. We make no guarantees regarding the long-term availability of embedded wallet functionality.
Payment method. All payments are made in USDC (a stablecoin) on the Base L2 blockchain via the x402 payment protocol. You are responsible for having sufficient USDC and ETH (for gas fees) in your wallet.
Dynamic pricing. Prices follow an exponential decay curve throughout the day, starting at approximately 10% off standard rates and increasing to up to 75% off near closing time. A small inventory-based adjustment of up to ±5% may also apply. The price displayed at the time of your purchase is the price you pay. We do not guarantee that any particular discount will be available at any time.
What you receive. Upon successful payment, you receive a Venice AI INFERENCE API key with a credit usage limit corresponding to your purchase. The key expires at midnight UTC on the purchased date(s).
Sales window. Sales close at 23:00 UTC each day. No purchases can be made between 23:00 and 00:00 UTC.
Blockchain finality. Payments are settled on the Base L2 blockchain. Transactions are final once confirmed on-chain. We are not responsible for failed, delayed, or misdirected transactions due to wallet errors, network congestion, or blockchain issues.
Currency and tax. All prices are denominated in US dollars and paid in USDC. You are responsible for any taxes, duties, or regulatory obligations applicable to your purchase and use of the Service in your jurisdiction.
All sales are final. Due to the time-sensitive nature of the credits (they expire at midnight UTC) and the instant delivery of API keys, we generally do not offer refunds.
We may, at our sole discretion, issue credits or refunds in the following circumstances:
Unused credits are not refundable. Credits that expire at midnight UTC without being used are forfeited. This is a known and expected aspect of the Service and is reflected in the discounted pricing.
API keys issued through the Service are for your use only and may not be resold, shared, or redistributed. Each key has a credit limit and expiration set at the time of purchase.
You are solely responsible for all activity that occurs using your API key. We are not responsible for charges incurred due to unauthorized use of your key.
You must comply with Venice.ai's Terms of Service and Privacy Policy when using your API key. We are not a party to the agreement between you and Venice.ai regarding API usage.
Use of the Service is subject to our Acceptable Use Policy. You agree not to use the Service or any API key obtained through the Service for any unlawful or prohibited purpose.
We reserve the right to revoke API keys and terminate access to the Service without refund if we reasonably believe you are violating these Terms or our Acceptable Use Policy.
The Service, including its design, code, branding, and documentation, is owned by CheapTokens and protected by applicable intellectual property laws. The open-source portions of the codebase are licensed under the MIT License.
“CheapTokens,” “CheapTokens.ai,” and associated branding are our trademarks. You may not use them without prior written permission.
The Service relies on third-party services, including but not limited to:
We are not responsible for the availability, performance, or policies of these third-party services. Downtime or changes to any third-party service may affect the Service. Your use of Venice.ai's API is governed by Venice.ai's own terms and policies.
Beta / experimental software. CheapTokens.ai is currently beta, experimental software and infrastructure. You use the Service, including any vault, supplier, payment, and API key functionality, at your own risk.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
AI-generated content may contain errors, biases, or hallucinations. You are solely responsible for evaluating and using any output obtained through API keys purchased via the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHEAPTOKENS, ITS OPERATORS, AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless CheapTokens and its operators, affiliates, and contributors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; (d) any content generated using API keys obtained through the Service; or (e) your use of any API key in violation of Venice.ai's terms.
The Service includes a vault mechanism where suppliers may deposit DIEM tokens to back daily API credit capacity. If you participate as a supplier:
DIEM token values may fluctuate. We make no representations regarding the value, stability, or liquidity of DIEM tokens.
By using the Service, you acknowledge and accept the following risks:
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, any outstanding API keys may be revoked.
You may stop using the Service at any time. Sections 6 (Refund Policy), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Blockchain Risks), 17 (Governing Law), and 18 (Dispute Resolution) survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal proceedings arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware.
Informal resolution first. Before filing any formal claim, you agree to contact us at legal@cheaptokens.ai and attempt to resolve the dispute informally for at least 30 days.
Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered under the rules of the American Arbitration Association. Arbitration shall be conducted in English. The arbitrator's award shall be final and binding.
Class action waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and CheapTokens regarding the Service and supersede all prior agreements and understandings.
